2. Grant of License

Licensor grants Licensee a non-exclusive, non-transferable license to use the beat titled '[Beat Name]' for a term of 3 years. This license allows the Licensee to create and distribute one song.

3. Permitted Uses

​

- Non-exclusive license

- Up to 50,000 streams/sales

- 1 music video (max 1M views)

- Unlimited live performances- WAV + MP3 delivery

- Stems included upon request

- Monthly subscription required; license expires upon cancellation

- Credit required: “Produced by Urgent / TME Records”

4. Restrictions

​

- No resale, sublicensing, or exclusive claim
- Cannot use for illegal, hateful, or defamatory content
- No redistribution of the beat in instrumental form

5. Payment

​

Licensee agrees to a one-time payment of $39.99 for this license. Files (MP3/WAV/stems if included) are delivered after payment.

​

6. Term & Renewal

​

This license lasts 3 years from the date of signing. Renewal requires a new agreement.

​

7. Ownership

​

Licensor retains 100% ownership of the beat. Licensee owns rights only to the recorded song using the beat.

8. Credit

​

Credit must read: "Produced by Urgent / TME Records" on all releases.

​

9. Upgrade Option

​

Licensee may upgrade to exclusive rights if they are still available. Contact Licensor for pricing.

10. Governing Law

​

This Agreement is governed by the laws of State of Michigan.

​
