This Beat Licensing Agreement ("Agreement") is entered into between Time Moves Emotionless Records LLC ("Licensor" or "TME Records") and the undersigned client ("Licensee").

2. Licensing Tiers

Tier 1 – Non-Exclusive Lease ($29.99/month)

- Non-exclusive license (beat may be licensed to other clients)
- Up to 10,000 streams/sales
- 1 music video (max 500K views)
- Live performances allowed
- MP3 format only
- Monthly subscription required; license expires upon cancellation
- Credit required: “Produced by Urgent / TME Records”

Tier 2 – Premium Non-Exclusive Lease ($39.99/month)

- Non-exclusive license
- Up to 50,000 streams/sales
- 1 music video (max 1M views)
- Unlimited live performances
- WAV + MP3 delivery
- Stems included upon request
- Monthly subscription required; license expires upon cancellation
- Credit required: “Produced by Urgent / TME Records” ​

Tier 3 – Exclusive Rights ($600 per beat)

- Exclusive license (beat removed from catalog upon purchase)
- Unlimited streams, sales, videos, and monetization
- Full commercial and sync rights
- WAV + MP3 + Stems included
- No resale or sublicensing allowed
- One-time payment required
- Credit required: “Produced by Urgent / TME Records”

3. General Terms

All beats remain the intellectual property of Willis Wright (Urgent) IPI Name Number #440061112 TME Records. Licensee may not claim ownership of the beat itself but may claim ownership of the new song created with the beat under the terms of their selected license.

4. Termination

Licenses may be terminated by TME Records for non-compliance or copyright violations. Subscriptions can be cancelled at any time by the Licensee, after which the license will expire at the end of the billing cycle.

5. Governing Law

This Agreement shall be governed by and interpreted under the laws of the State of Michigan.
